Bentley Kitchens Sale of Goods Agreement – Terms and Conditions

THE SUBJECT OF THE AGREEMENT

It is the obligation of the Seller [Bentley Kitchens] to supply and/or install the Goods for the Buyer and to transfer the property of the Goods to the Buyer under the terms and conditions herein and the obligation of the Buyer to accept the collected Goods from the Seller [Bentley Kitchens ] and to pay the agreed purchase price.

TERMS AND CONDITIONS

This website www.bentleykitchens.co.uk is operated by Bentley Kitchens. As a User of this website, you acknowledge that any use of this website including any transactions you make is subject to our Terms and Conditions.

These Terms and Conditions apply to the supply and/or installation of Goods to you and to the use of cookies.

We recommend that you print out a copy of the Terms and Conditions for your records.

The submission of the buyer specifying an order to purchase the Goods, followed by an email reply from Bentley Kitchens accepting your order will constitute the Buyer accepting to Bentley Kitchens ’s Terms and Conditions and initiate the creation of a legally binding contract between Bentley Kitchens and the Buyer.

All orders the Buyer places with Bentley Kitchens will be subject to acceptance in accordance with these Terms and Conditions.

Bentley Kitchens reserve the right to alter or amend these Terms and Conditions at any time.

The Terms and Conditions may also be extended to include other conditions applicable to specific goods or services offered by Bentley Kitchens.

It is your responsibility to read the Terms and Conditions every time you place an order.

Bentley Kitchens reserve the right to terminate the Contract with Bentley Kitchens at their own discretion.

PRICE

Bentley Kitchens reserves the right to change its advertised prices at any time.

Any quotation provided by Bentley Kitchens to the Customer is valid for a period of thirty days only from the date the quotation is sent to the Buyer.

Bentley Kitchens reserves the right at any time before delivery to increase the price of the Goods to reflect any increase in the cost that Bentley Kitchens may incur, that could be due to any factor beyond the control of Bentley Kitchens (not limited to any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, material or other costs of manufacture).

PAYMENT

All customers are required to pay a deposit as detailed on the quotation and/or invoice once an order has been placed.

Order and dates cannot be confirmed until the deposit payment is received.

Payments can be made by bank transfer.

All goods sold remain the property of Bentley Kitchens until paid in full.

WARRANTIES AND LIABILITY

Subject to the conditions set out below, Bentley Kitchens authorises that the Goods will be delivered to match their given specification at the time of order.

Bentley Kitchens is not liable for any defect arising from fair wear and tear, purposeful damage, negligence, abnormal working conditions, or storage in a hostile environment.

Any claim by you which is based on any discrepancy or error relating to your order must be brought to the attention of Bentley Kitchens within 24 hours of delivery.

Defects in the quality or condition of the Goods or their failure to correspond with the specification must be notified to Bentley Kitchens within 3 working days from the date of delivery.

If delivery is not refused and the Buyer does not notify Bentley Kitchens of any defect/order volume error accordingly, you will not be entitled to reject the Goods and Bentley Kitchens shall have no liability for such defects or failure and you will not be entitled to a refund of the price as if the Goods had not been delivered in accordance with the Contract.

Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to Bentley Kitchens in accordance with these Terms and Conditions, Bentley Kitchens shall be entitled to replace the Goods, and at Bentley Kitchens ’s sole discretion, refund to you the price of the Goods (or a proportionate part of the Goods) at the price the goods were sold to the Buyer. Bentley Kitchens shall have no further liability.

Bentley Kitchens is not liable to you or by reason of any representation for any implied warranty, condition or other term, any duty at common law, or under the express terms of the contract, for any indirect, special or consequential loss or damage (whether for loss of profit, goodwill or reputation or otherwise), economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings) costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of Bentley Kitchens , its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use by you.

Bentley Kitchens shall not be in breach of Contract by reason for any delay in performing, or any failure to perform, any of Bentley Kitchens ’s obligations in relation to the Goods if the delay or failure was due to any cause beyond Bentley Kitchens ’s reasonable control.

The following shall be regarded as causes beyond Bentley Kitchens ’s reasonable control: Act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargoes; strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of Bentley Kitchens or of a third party); difficulties in obtaining raw materials, labour, fuel, parts or machinery; power failure or traffic or a breakdown in any machinery or vehicles.

CANCELLATIONS AND RETURNS

Non-stocked” items and “Made-to-order” items cannot be cancelled or amended once we are in receipt of your order.

CHANGES TO OUR NOTICE

This notice was last updated on the 10 October 2020. It will be updated in the future to take into account changes to the Bentley Kitchens or for example to reflect changes to applicable regulations.

Any changes we make to our Notice will be posted on our Website. By providing us with your information, using any of our online services and/or any service or product offered via the online services, providing us with information in our showroom or by placing orders after we have changed the terms of our Notice, you will be deemed to have accepted these changes.
